About X-Whale and these terms
X-Whale is the trading name of Hangzhou Lanjing Zhimao Technology Co., Ltd. (杭州蓝鲸智贸科技有限公司) ("X-Whale," "we," "us," or "our"). We operate www.x-whale.com (the "Website"). You can contact us at contact@x-whale.com.
These Terms of Use explain the conditions for using our Website and contacting us through its enquiry and booking channels. The Website introduces our website design and development, search optimization, ecommerce systems, and AI integration services.
Paid work, including any advertising management we agree to undertake, is governed by a separate proposal, statement of work, or service agreement accepted by both parties (a "Project Agreement"). That agreement sets out the relevant scope, fees, payment arrangements, delivery, acceptance, maintenance, intellectual property, and cancellation terms. If these Terms conflict with a Project Agreement concerning that project, the Project Agreement takes precedence, subject to applicable law.
Enquiries, bookings, and project agreements
Browsing the Website, sending an enquiry, or booking an introductory meeting does not by itself place an order, authorize chargeable work, or create a paid Project Agreement.
Please provide accurate contact details and information relevant to your request. If you act on behalf of a business or another person, you must have the authority needed for the request, instructions, or permissions you give us.
Website descriptions and examples provide general information about our work. Specific requirements, deliverables, timelines, prices, and any support commitments must be confirmed in the applicable Project Agreement. Changes to agreed work require agreement between the parties in accordance with that agreement.
To request a change to a meeting, use the options in your booking confirmation or contact us by email.
Website content and intellectual property
Our original Website content, branding, and designs belong to X-Whale or their respective rights holders. Third-party materials, trademarks, and software remain subject to their applicable rights and licences.
You may access the Website, share links to its public pages, and save or print reasonable extracts for personal reference or internal business evaluation, retaining relevant copyright and attribution notices. Other uses remain subject to applicable law, the relevant licence, or permission from the rights holder. Contact us if you wish to reuse our content beyond these permissions.
These Terms do not transfer ownership of client materials to us or determine ownership of project deliverables. Rights in designs, source code, other deliverables, and any underlying third-party components are addressed in the relevant Project Agreement and licences.
Materials and information you provide
You retain your existing rights in materials you provide, including brand assets, text, images, design files, and project information. You must have the rights and permissions necessary to provide those materials and authorize their use for the requested work.
By providing materials, you authorize us to use them to review and respond to your request and, where agreed, carry out the relevant project. This permission is limited to those purposes and does not give us an unrestricted right to publish, sell, or reuse your materials for other clients.
We will treat information identified as confidential, or reasonably understood to be confidential in the circumstances, as confidential. Access and disclosure will be limited to what is needed to handle the enquiry or agreed work, to people subject to appropriate confidentiality obligations, or as required by law. A separate confidentiality or Project Agreement may provide more specific arrangements.
You do not grant permission to publish your project, name, or logo as a case study merely by contacting us. Any such use requires separate permission or an applicable agreement.
Please do not include passwords, payment-card details, or unnecessary sensitive personal information in ordinary enquiry messages. Where access is needed for a project, the relevant access arrangements should be agreed separately.
Acceptable use
When using the Website or our enquiry and booking channels, you must not:
- Use them for unlawful, fraudulent, or deceptive purposes, or impersonate another person or organization.
- Seek unauthorized access to systems or data, bypass access controls, or interfere with security measures.
- Send malware, spam, or communications intended to disrupt the Website or its users.
- Infringe another person's intellectual property, privacy, or other legal rights.
- Harass or threaten people, or use information obtained from the Website to harm others.
- Extract data or send requests in a manner that unlawfully collects personal information, circumvents restrictions, or creates an unreasonable burden on the Website.
These restrictions do not prohibit ordinary search-engine indexing, normal use of browser or accessibility tools, lawful linking, or uses permitted by applicable law.
Account authorization and advertising services
If a Project Agreement involves managing Google Ads or another third-party account, you must own the account or have authority to grant the relevant permissions. We will act within the access granted and the agreed scope of work. Account access alone does not authorize work or spending beyond that scope.
Advertising budgets, approval arrangements, account responsibilities, and any management fees must be agreed before the relevant work begins. Advertising spend and our management fees are separate charges. Any management fee will be disclosed in writing before you purchase that service and identified on the relevant invoices. Google advertising costs and performance will be made available through reports or access to the relevant account; reported Google advertising spend will distinguish Google's charges from our fees. We will provide the relevant Google Ads customer ID to an authorized customer on request.
You may revoke account access using the relevant platform's controls and should notify us so that ongoing work and any handover can be addressed. We will stop accessing the account when our authorization ends. Revoking access does not itself pause or delete existing campaigns; their handling should be agreed as part of the handover before access is removed. Fees properly incurred, cancellation, and handover obligations remain governed by the Project Agreement and applicable law.
Account data is handled as described in our Privacy Policy. Platform policies and the account holder's separate agreements with the platform continue to apply. Our use of a platform does not itself imply that the platform sponsors or endorses X-Whale.
Privacy and cookies
Our Privacy Policy explains how we handle personal information in connection with Website use, enquiries, bookings, and authorized services.
We use necessary cookies and browser storage for essential Website functions. Optional Website analytics is enabled only with your consent. You can review or change your choices through Preferences in the Cookie settings section.
Reading or accepting these Terms does not replace any consent or separate authorization required for optional analytics, marketing communications, or access to third-party accounts. Accepting Website cookies does not authorize us to access third-party accounts. Declining optional analytics does not prevent you from browsing, contacting us, or booking a meeting.
Third-party websites and services
The Website includes links to other websites and services, such as meeting bookings. Please review the relevant provider's terms and privacy notice when using them. A link does not mean we endorse all of that provider's content or services.
If a project uses third-party platforms, software, or assets, applicable licences, charges, and service dependencies should be addressed in the Project Agreement. Third-party involvement does not remove any responsibility we have under that agreement or applicable law.
Website availability and access
We aim to keep the Website available and its information accurate, but maintenance, technical issues, and other circumstances may cause interruptions or errors. You can contact us by email if a Website feature is unavailable.
We may correct or update Website information and take proportionate steps to restrict access where reasonably necessary to address unlawful activity, a security risk, misuse, or a legal requirement. Where appropriate and practicable, we will explain a restriction to the affected person.
Website updates or access restrictions do not change an agreed project price or delivery commitment, terminate a Project Agreement, or remove maintenance and support obligations under that agreement.
Website information and service outcomes
Website articles, service descriptions, and examples are general information. Examples and previous results do not guarantee the same outcome for another project.
Search rankings, advertising performance, traffic, sales, and other business results depend on factors including competition, platform decisions, market conditions, and client implementation. Specific targets, deliverables, or guarantees apply only where expressly agreed in a Project Agreement. AI-assisted outputs may require review for accuracy and suitability for the intended use.
We remain responsible for delivering the agreed work and meeting the service standards required by the Project Agreement and applicable law.
Responsibility and legal rights
Each party is responsible for its own conduct under applicable law and any relevant Project Agreement.
These Terms do not exclude or limit liability that cannot lawfully be excluded or limited, or affect any rights that cannot legally be waived.
Communications and changes to these terms
We may use the contact details you provide to respond to enquiries and communicate about meetings, projects, or matters affecting your use of the Website. This does not by itself constitute consent to unrelated marketing communications.
We may update these Terms to reflect changes to the Website, our activities, or legal requirements. The published version will show its last updated date. For material changes, we will provide appropriate notice, such as a prominent Website notice or direct communication where relevant, and seek agreement where required by law.
Changes will not apply retroactively to alter an existing Project Agreement, change previously agreed charges, or remove rights that have already arisen. Any project amendment must follow that agreement and applicable law.
General provisions
If any part of these Terms cannot be enforced, the rest will continue to apply to the extent permitted by law. Not exercising a right immediately does not mean giving it up.
